Hajri: A product of Tupple Application

Please read carefully. These Terms of Service form a binding legal agreement between you and Tupple Application. By creating an account, accessing, or using Hajri in any way, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use the Service.

1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of Hajri (“Hajri”, “Service”, “we”, “our”, or “us”), a Human Resource Management System (HRMS) and workforce management platform operated by Tupple Application, including the website at https://hajri.app, our mobile applications, kiosk software, APIs, and all related services and features.

By registering for an account, signing up for a trial, accessing the Website, downloading our mobile or kiosk applications, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and “you” refers to that organisation. If you do not have such authority, you must not accept these Terms or use the Service on behalf of the organisation.

2. Definitions

  • “Customer” means the organisation or business that subscribes to the Service.
  • “Account Administrator” means the individual designated by the Customer to manage its Hajri account.
  • “Authorised User” means an employee, contractor, or other individual whom the Customer authorises to use the Service, including those enrolled for attendance, location tracking, or payroll.
  • “Customer Data” means all data and information submitted to or generated through the Service by or on behalf of the Customer, including employee records, attendance logs, biometric templates, location data, and payroll information.
  • “Subscription” means the paid plan selected by the Customer to access the Service.
  • “Free Trial” means a time-limited, no-cost period during which the Customer may evaluate the Service.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Have the legal capacity to enter into a binding contract.
  • Be a legally established business, organisation, or individual operating a business.
  • Not be barred from using the Service under applicable laws.

The Service is intended for business use. Hajri is not designed for or directed to consumers acting outside their trade, business, craft, or profession.

4. Account Registration and Security

4.1 Account Creation

To use most features of the Service, you must register an account and provide accurate, current, and complete information. You agree to keep your account information up to date at all times.

4.2 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials, including passwords, API keys, and access tokens. You must not share your credentials with any third party. You are responsible for all activities that occur under your account.

4.3 Unauthorised Use

You must notify us immediately at support@hajri.app of any actual or suspected unauthorised use of your account or any other security breach. Hajri will not be liable for any loss or damage arising from your failure to safeguard your credentials.

5. Subscription, Billing, and Free Trials

5.1 Subscription Plans

The Service is offered on a subscription basis. Subscription plans, features, and pricing are described on our Pricing page at https://hajri.app/pricing/ and may be updated from time to time. The applicable plan, fees, billing cycle, and number of Authorised Users will be confirmed at the time of purchase.

5.2 Free Trial

We may offer a Free Trial for a limited period. At the end of the Free Trial, your account will either convert to a paid Subscription (if you have provided payment details and selected a plan) or be suspended until you subscribe. Trial limits, features, and duration are at our sole discretion and may change without notice.

5.3 Fees and Payment

  • All fees are payable in advance for the applicable billing cycle (monthly, annual, or as specified at purchase).
  • Fees are exclusive of GST and other applicable taxes, which will be added to the invoice as required by law.
  • Payment must be made using the methods we make available (such as credit card, debit card, UPI, bank transfer, or other supported gateways).
  • You authorise us, our payment processors, or our affiliates to charge the payment method on file for all fees due.

5.4 Auto-Renewal

Unless cancelled before the end of the current term, Subscriptions automatically renew for successive periods of the same length at the then-current rate. You may disable auto-renewal at any time from your account settings or by contacting us.

5.5 Late Payment

If a payment is not received by the due date, we may suspend or terminate your access to the Service, restrict features, and/or charge late fees or interest as permitted by law. The Customer remains liable for all outstanding amounts.

5.6 Price Changes

We may change Subscription fees with at least 30 days’ prior notice. Changes take effect at the start of the next billing cycle following the notice period.

5.7 Refunds

Except where required by law or expressly stated otherwise, all fees are non-refundable. Partial-period refunds, downgrades mid-cycle, and unused user seats are not refundable.

6. Use of the Service

6.1 Licence Grant

Subject to your compliance with these Terms and timely payment of fees, Hajri grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business purposes during the Subscription term.

6.2 Authorised Users

The Customer is responsible for:

  • Inviting, enrolling, managing, and removing Authorised Users.
  • Ensuring that each Authorised User complies with these Terms.
  • Obtaining all necessary consents from Authorised Users for the collection and processing of their personal data, including biometric data and location data, as described in the Privacy Policy.
  • Providing appropriate notices to employees under applicable labour, privacy, and data protection laws.

6.3 Acceptable Use

You agree not to, and not to permit any Authorised User or third party to:

  • Use the Service for any unlawful, harmful, fraudulent, or infringing purpose.
  • Use the Service to harass, surveil unlawfully, or violate the privacy rights of any individual.
  • Falsify attendance records, location data, or payroll information.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas of the Service.
  • Copy, modify, distribute, sell, lease, or create derivative works of the Service or any part of it.
  • Resell, sublicence, or provide the Service to any third party (including as part of a service bureau or managed-service offering) without our prior written consent.
  • Use the Service to build a competing product or service.
  • Upload or transmit viruses, malware, or other malicious code.
  • Attempt to gain unauthorised access to the Service, other users’ accounts, or our systems and networks.
  • Interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure (including through scraping, automated bots, or denial-of-service attacks).
  • Remove, obscure, or alter any proprietary notices on the Service.
  • Use the Service in a way that violates any applicable law, regulation, or third-party right.

7. Customer Data and Privacy

7.1 Ownership of Customer Data

As between you and Hajri, the Customer retains all right, title, and interest in and to Customer Data. The Customer grants Hajri a worldwide, royalty-free licence to access, use, process, store, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service, and as otherwise permitted by these Terms and the Privacy Policy.

7.2 Customer Responsibilities

The Customer represents and warrants that:

  • It has all necessary rights, consents, and authorisations to provide Customer Data to Hajri and to permit Hajri to process it.
  • It has provided all required notices and obtained all required consents from Authorised Users (including employees) for the collection, use, and processing of their personal data, including biometric data and location data.
  • Its use of the Service complies with all applicable laws, including labour laws, data protection laws (such as the DPDP Act, 2023 and GDPR where applicable), and employment laws.

7.3 Privacy

Our collection, use, and disclosure of personal data are described in our Privacy Policy. By using the Service, you acknowledge and agree to the terms of the Privacy Policy.

7.4 Aggregated & De-identified Data

Hajri may generate aggregated, anonymised, or de-identified data from Customer Data that does not identify any individual or Customer. Hajri may use such data for any lawful purpose, including improving the Service, benchmarking, analytics, and research.

8. Intellectual Property

8.1 Hajri’s IP

The Service, including all software, source code, designs, interfaces, logos, trademarks, content, documentation, and underlying technology (collectively, “Hajri IP”), is owned by Tupple Application or its licensors and is protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

8.2 Feedback

If you provide any suggestions, ideas, enhancement requests, feedback, or recommendations regarding the Service (“Feedback”), you grant Hajri a perpetual, irrevocable, royalty-free, worldwide licence to use, modify, and incorporate the Feedback into the Service or any other products or services, without obligation or compensation.

8.3 Trademarks

“Hajri”, “Tupple Application”, and associated logos are trademarks of Tupple Application. You may not use these trademarks without our prior written consent.

9. Third-Party Services

The Service may integrate with or link to third-party products, services, or websites (such as payment gateways, mapping providers, communication providers, and analytics tools). We are not responsible for the operation, content, terms, or privacy practices of any third-party service. Your use of any third-party service is governed by that third party’s terms and policies.

10. Service Availability and Modifications

10.1 Availability

We strive to keep the Service operational at all times but do not guarantee uninterrupted, error-free, or fully secure access. The Service may be unavailable from time to time due to maintenance, upgrades, outages, force majeure events, or factors beyond our control.

10.2 Modifications

We may modify, add, or remove features of the Service at any time. We will use reasonable efforts to notify you of material changes that adversely affect functionality. Continued use of the Service after such changes constitutes acceptance of those changes.

10.3 Beta Features

From time to time we may offer beta, preview, or experimental features. Such features are provided “as is” without warranty, may be discontinued at any time, and are subject to additional terms we may specify.

11. Suspension and Termination

11.1 Termination by You

You may cancel your Subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing cycle. No refunds are provided for the unused portion of the current cycle, except where required by law.

11.2 Suspension or Termination by Us

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if:

  • You breach these Terms or our Privacy Policy.
  • You fail to pay any fees when due.
  • Your use of the Service poses a security, legal, or reputational risk to Hajri or other users.
  • We are required to do so by law or a regulatory authority.
  • We discontinue the Service or any part of it.

11.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service ends immediately.
  • You remain liable for all unpaid fees accrued before termination.
  • We will make Customer Data available for export for a limited period (typically 30 days), after which we may delete or anonymise Customer Data in accordance with our Privacy Policy and applicable law.
  • Sections of these Terms that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution) will survive.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

Without limiting the foregoing, Hajri does not warrant that:

  • The Service will meet your specific requirements.
  • Facial recognition, GPS, geo-fencing, or other detection features will be 100% accurate or free from false positives or false negatives.
  • The Service will be uninterrupted, timely, secure, or error-free.
  • Any errors or defects will be corrected.

You acknowledge that attendance verification, location tracking, and payroll calculations are tools to assist your decision-making and are not a substitute for independent verification, human oversight, or legal compliance review.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • In no event shall Hajri, Tupple Application, or our affiliates, directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with these Terms or the Service, even if advised of the possibility of such damages.
  • Our aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by the Customer to Hajri in the twelve (12) months immediately preceding the event giving rise to the claim, or INR 10,000, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you to the extent prohibited by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Hajri, Tupple Application, and our affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use or misuse of the Service.
  • Your breach of these Terms or applicable law.
  • Your Customer Data, including any claim that Customer Data infringes or violates the rights of any third party.
  • Your failure to obtain required consents from Authorised Users, including for biometric and location data processing.
  • Any dispute between you and an Authorised User (including an employee or former employee).

15. Confidentiality

Each party may have access to information of the other party that is confidential or proprietary (“Confidential Information”). Each party agrees to:

  • Use Confidential Information only as necessary to exercise its rights and perform its obligations under these Terms.
  • Protect Confidential Information using the same degree of care it uses for its own confidential information, and in no event less than reasonable care.
  • Not disclose Confidential Information to third parties without the prior written consent of the disclosing party, except to employees, contractors, or service providers bound by similar confidentiality obligations.

Confidential Information does not include information that is publicly available, was already known without confidentiality obligations, is independently developed, or is required to be disclosed by law.

16. Force Majeure

Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, labour disputes, internet or telecommunications failures, or interruptions of utilities.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles.

17.2 Jurisdiction

Subject to Section 17.3, the courts located in Surat, Gujarat, India shall have exclusive jurisdiction to adjudicate any dispute arising out of or in connection with these Terms or the Service.

17.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms that cannot be resolved through good-faith negotiation may, at either party’s option, be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be Surat, Gujarat, India, and the language of arbitration shall be English. The arbitral award shall be final and binding.

18. Changes to These Terms

We may update these Terms from time to time. The revised Terms will be posted at https://hajri.app with an updated “Last Updated” date. For material changes, we will use reasonable efforts to provide additional notice (such as by email or in-app notification). Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the changes, you must stop using the Service and cancel your Subscription.

19. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any order forms or written agreements between you and Hajri, constitute the entire agreement between the parties and supersede all prior or contemporaneous understandings.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Relationship: The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, or employment relationship.
  • Notices: We may send notices to you via email, in-app messaging, or by posting on the Website. You may send notices to us at the contact details below.
  • Language: These Terms are written in English. Any translation is provided for convenience only, and the English version shall prevail in case of conflict.
